General Terms of Use and Sale

Preamble
These General Terms (hereinafter the "Terms" or "CGU", for Conditions Generales d'Utilisation) govern access to and use of the Yuna platform (the "Service"), published by Yuna Analytics SARLAU ("Yuna", "we"), a single-shareholder limited liability company (SARLAU) with share capital of 100,000 MAD, registered office at 77 rue Mohamed Smiha, floor 10, no. 57, Casablanca, Trade Register (RC) 719233 (Casablanca), Common Enterprise Identifier (ICE) 003916516000073, contact contact@yuna.ma.
They are addressed to any natural person acting for non-professional purposes (the "Consumer" or "User"), within the meaning of Law no. 31-08 enacting consumer protection measures.
Article 1. Purpose and definitions
The Service is a financial analysis and information tool covering the Moroccan market (mutual funds (OPCVM), equities), including a conversational assistant based on artificial intelligence. The Terms define the conditions for access to, subscription to and use of the Service.
Article 2. Nature of the Service: information, not investment advice
Yuna provides financial information and analysis of a general, non-personalised nature. In accordance with the regulations of the AMMC (Moroccan Capital Markets Authority) (Law no. 19-14 and its implementing texts), Yuna:
- is not an investment adviser, is not registered with the AMMC and holds no authorisation;
- provides no personalised investment advice or recommendation, and no regulated investment service;
- never receives orders, funds or financial instruments from the User.
The content is provided for informational and educational purposes. It may contain errors or approximations, in particular because the assistant's responses are generated by third-party artificial intelligence models. It does not constitute an inducement to buy or sell any financial instrument. Any investment decision is the sole responsibility of the User, who is invited to consult an authorised professional. All investment carries a risk of capital loss.
Article 3. Registration and account
The Service is reserved for natural persons of legal age (eighteen years or over) with the legal capacity to contract. Access to the Service requires the creation of an account (email and password, or login via a third-party provider). The User warrants the accuracy of the information provided, keeps their credentials confidential and is responsible for activities carried out from their account. One account corresponds to a single natural person.
Article 4. Subscription, price and payment
4.1. The Service is offered by subscription. The essential characteristics, the all-tax-inclusive price (VAT included) and, where applicable, any additional charges, are displayed before the order is confirmed (Law 31-08, art. 3 and 5).
4.2. <b>Payment methods.</b> Payment is made, depending on the subscription channel: (i) for subscriptions in Moroccan dirhams on the yuna.ma site, by bank card via the secure platform of our Moroccan payment provider, PCI DSS certified; (ii) for international payments, via our international payment provider, which acts as an authorised reseller (merchant of record): the sale transaction is then concluded with that provider and its terms of sale apply to it, while these Terms continue to govern the use of the Service; (iii) for subscriptions taken out from the mobile application, by in-app purchase via the App Store or Google Play, under the terms of the relevant store. In all cases, Yuna never stores the full card number (see Privacy Policy).
4.3. Term and renewal. The subscription is concluded for the term indicated at the time of subscription (monthly or annual) and renews by tacit renewal for an identical term. For the annual subscription, in accordance with article 7 of Law 31-08, Yuna informs the User, in writing on a durable medium and no later than one month before the deadline allowing objection to the renewal, of their right not to renew; failing this, the User may terminate at any time and without penalty as from the renewal date. For the monthly subscription, whose periodicity does not allow such notice, the User may in any event terminate at any time, free of charge and without penalty, with effect at the end of the current monthly period.
4.4. An order confirmation summarising the pre-contractual information is sent to the User on a durable medium (email) after payment (Law 31-08, art. 32).
4.5. Failed payment. If a charge fails upon renewal, Yuna informs the User and may suspend access to paid features after a regularisation period of seven (7) days. Failing regularisation within thirty (30) days, the subscription is terminated by operation of law, at no cost to the User.
Article 5. Right of withdrawal
5.1. Principle. In accordance with article 36 of Law 31-08, the User has a period of seven (7) clear days, as from acceptance of the offer, to withdraw without reason or penalty. Where exercised, the refund is made within fifteen (15) days at the latest (art. 37). The detailed terms are set out in our refund and cancellation policy. For subscriptions taken out via our international payment provider acting as an authorised reseller, or by in-app purchase via the App Store or Google Play, the withdrawal and refund terms of the relevant provider or store apply to the sale transaction; we support you through the process.
5.2. Waiver in the event of immediate performance. Pursuant to article 38 of Law 31-08, the right of withdrawal cannot be exercised for services whose performance has begun, with the Consumer's agreement, before the end of the seven-day period. At the time of subscription, the User who requests immediate access to the Service expresses their express agreement and acknowledges, by means of a separate dedicated checkbox, that they waive their right of withdrawal as soon as access is opened:
"I expressly request Yuna to begin performance of my subscription immediately, upon validation of my payment, without waiting for the end of the seven-day withdrawal period. I acknowledge that, as a result, in accordance with article 38 of Law 31-08, I waive my right of withdrawal as soon as access to the Service is opened to me."
5.3. This consent is collected before the Service starts and is retained as evidence.
Article 6. User obligations and prohibited uses
The User undertakes to make personal, lawful use in accordance with these Terms. The following are notably prohibited: reselling or sharing access, mass or automated data extraction, reverse engineering, circumventing technical limitations, and any use that harms the security or integrity of the Service.
Article 7. Intellectual property
The Yuna trademark, the site, the interfaces, the content and the databases are protected and remain the property of Yuna Analytics SARLAU or its licensors. The subscription confers a personal, non-exclusive and non-transferable right of use, with no transfer of ownership. Exports generated by the User are intended for their own use.
The content the User uploads to the Service (files, portfolios, questions) remains the property of the User or of its rightholders. The User grants Yuna a limited, non-exclusive and free licence, solely for the purpose of hosting and processing it in order to provide the Service, under the conditions described in the Privacy Policy. The User warrants that they hold the necessary rights over the content they upload.
Article 8. Liability
8.1. Yuna provides the Service with due care, as a best-efforts obligation. Market data and the assistant's responses are provided without warranty of accuracy, completeness or timeliness, and cannot replace official sources.
8.2. Yuna cannot be held liable for the User's investment decisions or for the consequences of any interpretation of the content. Yuna cannot be held liable for indirect damages.
8.3. Subject to article 8.4 and except for personal injury, Yuna's total liability under the Service is limited, all damages combined, to the total amount actually paid by the User for their subscription during the twelve (12) months preceding the event giving rise to liability.
8.4. These Terms do not limit Yuna's liability in cases where the law prohibits it (in particular gross negligence or wilful misconduct, and any harm that cannot lawfully be excluded).
Article 9. Personal data
The processing of the User's personal data is described in the Privacy Policy, in accordance with Law no. 09-08 on the protection of natural persons with regard to the processing of personal data and with the deliberations of the CNDP (Moroccan data protection authority). There the User has rights of access, rectification, objection and deletion.
Article 10. Term, cancellation and termination of the subscription
10.1. Cancellation of the subscription by the User. The User may cancel their subscription at any time, without giving reasons, free of charge and without penalty. For a subscription taken out on the yuna.ma site, cancellation is carried out independently, from the "Subscription" page of the personal area, without having to contact Yuna. For a subscription taken out via the mobile application (in-app purchase), cancellation is carried out via the relevant store (App Store or Google Play). Cancellation puts an end to automatic renewal: no charge is made after it has been taken into account, the User retains access to the Service until the end of the period already paid for, and the subscription ends on that date. The applicable refund terms are set out in our refund and cancellation policy.
10.2. Suspension and termination by Yuna. Yuna may suspend or terminate an account in the event of a serious breach of these Terms or fraudulent use, after informing the User, except in a security emergency. In the event of a failed charge upon renewal, the suspension and termination terms set out in article 4.5 apply.
10.3. Evolution of the Service. Yuna may evolve the Service (adding, modifying or removing features), provided its essential characteristics are not degraded during the current subscription period. In the event of the definitive discontinuation of the Service, or of termination by Yuna in the absence of any breach by the User, the portion of the subscription already paid and not consumed is refunded pro rata. Yuna may also offer features identified as beta or experimental; they are provided as is, for evaluation purposes, may be modified or withdrawn at any time and do not form part of the essential characteristics of the Service.
Article 11. Amendment of the Terms and of the price
Yuna may amend these Terms. The applicable version is identified by its version number and date. Any substantial change to the Terms, to the price or to the essential characteristics of the Service is brought to the User's attention, on a durable medium, at least thirty (30) days before it comes into force; a price change applies only as from the next renewal, never to the period already paid for. A User who does not accept the change may terminate free of charge before it comes into force, termination taking effect at the end of the current period.
Article 12. Evidence
The computerised records kept by Yuna (acceptance of the Terms, the consent under article 5.2, payment transactions) are kept under conditions ensuring their integrity and are admitted as evidence of transactions, in accordance with Law no. 53-05 on the electronic exchange of legal data.
Article 13. Complaints and amicable settlement
Any complaint may be sent to contact@yuna.ma; Yuna acknowledges receipt and responds within a reasonable time. The parties seek in good faith an amicable solution before any legal action and may, by mutual agreement, resort to contractual mediation.
Article 14. Governing law and jurisdiction
These Terms are governed by Moroccan law. Any dispute is submitted to the competent Moroccan courts; the Consumer may, at their choice, bring the matter before the court of their place of residence. No clause of these Terms deprives the Consumer of this right.
Article 15. Language
These Terms are drafted in French, the language of the Service.
Article 16. Miscellaneous provisions
Force majeure. Neither party may be held liable for a failure resulting from an event of force majeure within the meaning of Moroccan law (articles 268 and 269 of the Dahir forming the Code of Obligations and Contracts). Performance of the affected obligations is suspended for the duration of the event.
Assignment. Yuna may assign or transfer the contract to any entity taking over its business (in particular in the event of a restructuring or a transfer of the business as a going concern), provided the level of service and the User's rights are maintained; the User is informed on a durable medium. The User's account is personal and non-transferable.
Severability and entire agreement. If any provision of these Terms is declared void or unenforceable, the remaining provisions retain their full effect. Yuna's failure to rely on a breach does not constitute a waiver of its right to rely on it subsequently. These Terms, supplemented by the Privacy Policy and the refund and cancellation policy, constitute the entire agreement between the parties concerning the Service.
